SECTION II: OBJECT OF THE CONTRACT
II.1) DESCRIPTION

II.1.5) Short description of the contract or purchase(s): The contracting
authorities are seeking an innovative private sector partner or partners
to participate and invest in a new Public Private Partnership Vehicle (a
"Local Education Partnership" or "LEP") to be established jointly with
some or all of the contracting authorities. The LEP will provide (or
arrange for the provision of) "Partnering Services", which will include
(but not be limited to) the development of a strategic investment
programme for educational and other facilities ("Relevant Facilities") in
Somerset and geographically proximate areas The Relevant Facilities may
include some or all of the following: (a) educational facilities (which
will include secondary schools in the BSF programme and may include
primary schools, academies, trust schools and other places of primary,
secondary and tertiary education, including alternative provision
settings, and may also include pre-school facilities and university
facilities); (b) other children’s services facilities (including
children's homes, day services, after-school club facilities and youth
clubs); (c) space for general use both by schools and by the community
(including community meeting spaces), offices for use by the contracting
authorities, and other facilities for public use which may include youth
facilities, adult education and community learning facilities, business
enterprise centres and libraries; (d) leisure facilities (including
swimming pools, sports facilities and leisure centres); (e) other
learning, physical training and development faciliites and associated
community facilities as can conveniently be procured in association with
the particular schools These Partnering Services may also comprise the
following: (a) strategy advisory services; (b) programme management
services; (c) project development services; (d) procurement consultancy
services; and (e) procurement and delivery or management of all services
required to deliver the strategic investment programme for the Relevant
Facilities (including through the provision, integration and management of
supply chain arrangements). Such services may include: (i) architectural
and design services; (ii) engineering services; (iii) construction
services; (iv) technical services; (v) building services; (vi) hard
facilities management services; (vii) soft facilities management services
including catering; (viii) information communication and technology
("ICT") services; (ix) educational support services; (x) education
programme development services; (xi) educational strategy services; for a
period of up to 15 years, as more fully described in the information
memorandum. The Relevant Facilities, which may be a mixture of new build
and refurbished facilities, may be delivered under the Private Finance
Initiative (PFI), which may be for a contract length of up to 25 years,
and/or design and build arrangements. This may include the delivery of the
Relevant Facilities through separate SPVs established by the LEP. Where an
SPV is established, the shareholders in such SPV may include the LEP,
third party equity providers and supply chain members. Further details of
the national programme "Building Schools for the Future" can be found at
www.dcsf.gov.uk or www.p4s.org.uk. The LEP may also be required to provide
for, or arrange for the provision (through supply chain arrangements) of,
the management and/or integration of the Partnering Services, design and
build and construction contracts, facilities management services, support
services and ICT services (this list is not exhaustive) where the
contracting authorities' existing arrangements are either transferred or
expire. Provision of services may mean TUPE applies. The LEP may take on a
wider role in providing professional development activity for ICT and
transformational learning initiatives (potentially covering the whole of
the Relevant Facilities), and other managed services. The contracting
authorities may require the provision of any such services and equipment
to all or some of the schools in the secondary education estate, including
academies (there are no academies in Somerset at present, although it is
likely that one is to be proposed in Taunton) and primary schools, at any
time during the programme period. Further details are contained in the
descriptive document and pre-qualification questionnaire (see section VI.3
for details of how to obtain these).

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: 1) The estimated capital value for the
initial core projects in Somerset is in the region of 105 000 000 GBP,
plus ICT grant of 6 000 000 GBP. This represents Wave 4 and comprises 2
sample schools (one of which will be a sample school both for PFI and
Design and Build), 2 non sample schools, 2 specialist provision schools
and 4 alternative provision schools. Two of the non sample schools
(capital value circa 31 000 000 GBP) do not yet have planning approval,
and their inclusion in this Wave 4 programme could be delayed. 2) Extended
core projects are anticipated throughout the LEP contract period, with an
estimated additional capital value of 350 000 000 GBP, on the BSF
secondary school estate. 3) Other potential contracting authorities are
identified in VI.3. The value of work from those authorities is not known
at this stage. The value of additional projects is unlikely to reflect the
procuring authorities' secondary school estate.
Estimated value excluding VAT:
Range: between 105 000 000 and 450 000 000 GBP.
II.2.2) Options: Yes.
Description of these options: The partnering contract between the private
sector partner and the contracting authorities will be for a period of 10
years with an option to extend (exercisable during the initial 10 year
term) for a further 5 years.
II.3) DURATION OF THE CONTRACT OR TIME-LIMIT FOR COMPLETION: Duration in
months: 180 (from the award of the contract).
SECTION III: LEGAL, ECONOMIC, FINANCIAL AND TECHNICAL INFORMATION
III.1) CONDITIONS RELATING TO THE CONTRACT
III.1.1) Deposits and guarantees required: The contracting authorities
reserve the right to require deposits, guarantees, bonds or other forms of
appropriate security.
III.1.2) Main financing conditions and payment arrangements and/or
reference to the relevant provisions regulating them: See sections III.1.3
and VI.3. Some projects may be delivered using the UK Government's Private
Finance Initiative (PFI). It is intended that all Wave 4 expenditure,
apart from that on the alternative provision schools and ICT provision,
will be funded through the PFI.
III.1.3) Legal form to be taken by the group of economic operators to
whom the contract is to be awarded: The contracting authorities are
seeking a private sector partner or partners to participate and invest in
the LEP which will take responsibility for and manage a supply chain of
providers. The contracting authorities reserve the right to require
groupings of contractors to take a particular legal form or to require a
single contractor to take primary liability or to require that each party
undertakes joint and several liability irrespective of the form of the
LEP. This may include the LEP establishing a special purpose vehicle (SPV)
or vehicles, which will contract directly with the contracting authorities
for the delivery of specific projects. Where an SPV is established the
shareholders in such SPV may include the LEP, third party equity providers
and supply chain members.

SECTION VI: COMPLEMENTARY INFORMATION
VI.1) THIS IS A RECURRENT PROCUREMENT: No.
VI.2) CONTRACT RELATED TO A PROJECT AND/OR PROGRAMME FINANCED BY EU
FUNDS: No.
VI.3) ADDITIONAL INFORMATION: Prospective bidders who wish to respond to
this OJEU notice by completing the Pre-Qualification Questionnaire and
accessing the accompanying information should request this information by
contacting slgandley@somerset.gov.uk who will issue bidders with a web
address where all the information will be available. During the week
commencing 1.9.2008, members of the Somerset BSF team will be available by
appointment in Bridgwater to meet with prospective bidders on a 1:1 basis,
to give more information and background as required. These meetings will
be limited to no more than 2 hours. Requests for appointments should be
made via bsf@somerset.gov.uk. Prospective bidders who have already met
with the BSF team or who attended the Bidders Day held on 16.7.2008 do not
need to attend these sessions. Somerset County Council is acting as lead
contracting authority on behalf of the following contracting authorities
(and their statutory successors and organisations created as a result of
re-organisation or organisational changes) [see section I.1]: (a)
Partnerships for Schools, 5th floor, 10 Great George Street, London SW1P
3AE; (Partnerships for Schools is the non-departmental public body
established by the Department for Children, Schools and Families (DCSF)
(formerly the Department for Education and Skills) to implement the BSF
initiative.) (b) BSF Investments LLP, 5th Floor, 10 Great George Street,
UK-London SW1P 3AE; (BSF Investments LLP has been established by the DCSF
and Partnerships UK as the body which will invest equity in the LEP. More
information on the BSF initiative is available from www.p4s.org.uk.
Section I.2.) (c) other bodies with responsibility for education and/or
educational facilities in Somerset including voluntary aided schools (and
their governing bodies); foundation schools (and their governing bodies);
governing bodies of community schools; educational trusts (to include the
proposed Bridgwater Educational Trust); further education and/or adult
education providers; (d) Somerset Primary Care Trust; (e) Avon and
Somerset Police Authority (f) Sedgemoor District Council (g)
Gloucestershire County Council (h) North Somerset Council (i) Somerset
Leisure Trust (proposed) - Somerset County Council is to establish a
leisure trust for the management of its leisure centres across Somerset,
including 2 centres in Bridgwater, which are to be replaced as part of the
BSF project. The new leisure trust is expected to be operational from
early 2009. The Council will discuss with bidders management arrangements
for these new centres. (j) Plymouth City Council (k) Bridgwater Education
Trust Limited Other bodies receiving the benefit of this project may
include the Roman Catholic Dioceses of Clifton and Plymouth; the Church of
England Dioceses of Bath and Wells, Bristol, Exeter and Gloucester.
Additional types of contracting authority: national agency/office, body
governed by public law. Section II.1.2(c) Additional service categories:
7, 12, 14, 17, 23, 24, 25, 26, 27. The programme is likely to cover the
whole of the Authority’s current estate of 39 secondary schools, and 8
specialist provision schools. It is likely to be spread across 4 phases of
development within BSF Waves 4 to 15, (which will continue beyond the life
of the LEP now being procured) and is likely to include 6 schools within
Wave 4, together with 4 alternative provision schools. For Wave 4, three
sample schemes are envisaged, two using the PFI and the other a design and
build refurbishment (at one of the PFI sample schools). The contracting
authorities may contract directly with the LEP or, where an SPV is
established, with the SPV. The Authority and the schools in Wave 4 are
working to establish an Education Trust, the Trust to be implemented from
1 September 2008. The contracting authorities are willing to discuss the
establishment of trust status elsewhere in Somerset for some or all of the
schools in the programme, if such status would deliver discernible
advantages to students and parents. Section II.1.9 - Variants will be
accepted in addition to a compliant bid (as set out in the tender/contract
documents) providing the contracting authorities' core requirements are
met and provided they are in accordance with the tender/contract
documents. Sections II.2.2 and II.3 - The partnering contract between the
private sector partner and the contracting authorities will be for a
period of 10 years commencing in 2010 with an option to extend for a
further 5 years (such option being exercisable during the initial 10-year
term). The term of any design and build, PFI, facilities management,
management services or ICT agreements or other agreements flowing from the
partnership may extend beyond this period. Section IV.3.3 - The PQQ and
Memorandum of Information are available upon request from the address
specified in section I.1 from the date of despatch of this notice until
Friday 12.9.2008 (17:00). It is anticipated that the invitation to
participate in the dialogue will be sent to longlisted bidders on
10.10.2008. Important note: Arrangements have been made for longlisted
bidders to visit school sites in Bridgwater, and to attend at least 2
clarification meetings with the BSF team in Bridgwater, on the dates
13th-16th October, 20th-23rd October, and 4th, 5th, 7th November. Bidders
are strongly advised to block these dates in their diaries; precise dates
and times will be issued to longlisted bidders by close of play on Friday
10th October. Bidders might also like to note that the dates for bidder
presentations to the ITPD evaluation panel are 10th-12th December 2008,
precise timings to be notified. Section IV.3.4 - expressions of interest
must be by way of completion and return of the pre-qualification
questionnaire (PQQ) by the date and time specified in Section IV.3.4.
