REQUEST FOR LETTERS OF INTEREST

PROOF OF CONCEPT - DESIGN, DEVELOP AND DEMONSTRATION OF A SMART
MOBILE POWER MANAGEMENT SYSTEM (SMPMS)

1.0 BACKGROUND

The Department of National Defence (DND) is investigating means
of increasing the efficiency of mobile power production while
minimizing the environmental impacts and logistical support
associated with fossil fuel power production. The central
control and management of independently operated generators may
be a means of achieving improvements in power generation
efficiencies. The integration of renewable energy generators is
also being investigated to help reduce environmental impacts and
fossil fuel consumption.

2.0 OBJECTIVE

The objective of this LOI is to advise industry of DND's
requirement for an SMPMS and to provide industry with the
opportunity to express their interest in meeting the
requirements as set out below.

3.0 REQUEST FOR INFORMATION

Responses from industry are being sought which address the areas
listed below:

a) Statement of Work
The Statement of Work (SOW) (Draft) is attached at Annex A.
The SOW (Draft) details the total requirement of the design,
development and demonstration of the SMPMS.

Firms are requested to conduct a detailed review of the SOW
(Draft) and provide the following:

(i) A conceptual solution for the SMPMS, including
identification of any current product that may satisfy the
requirement.
(ii) Feedback on the achievability of the requirements for the
SMPMS as detailed in the SOW (Draft) and suggested alternative
approaches if applicable.
(iii) Identification of any areas of the requirement which could
be deemed to be medium to high risk to achieve, and why.

b) Corporate Capability
Firms are requested to demonstrate their past corporate
experience in the area of power systems design, development,
production and support, including experience with hybrid power
systems and the management of multi-generator capable power
systems.

c) Timelines
Projected timeline to perform the design and engineering effort
to manufacture a pre-production unit. A "tentative" milestone
schedule is set out under 3.3.3 of the Statement of Work.

d) Cost
It is requested that industry provide detailed cost estimates
for this initiative. Firms are to consider the elements of cost
such as labour, equipment, materials and supplies, travel and
living expenses, overheads, profit, etc., for each of Phase 1
and Phase 2. In addition, it is requested that firms provide
an order of magnitude estimate for the cost per item of an SMPMS
production model.

e) Basis and Method of Payment
DND prefers that any resultant contract be a firm fixed price
with milestone payments. Firms are requested to provide
feedback on industry's willingness to bid under these terms.

f) Intellectual Property
It is the intent that any Intellectual Property (IP) arising
from the performance of the work under any resultant contract
will vest in the Contractor, in accordance with 2040 General
Conditions - Research and Development. This document can be

Background IP.

g) Canadian Content
Feedback from industry is requested on the level of Canadian
content (% of work performed by Canadian–based personnel) that
would likely be included with their company/team.

4.0 PROCUREMENT SCHEDULE

Based on the information contained in the reponses to this LOI,
the SOW and other aspects of this requirement will be refined
and finalized, and it is expected that a Request for Proposal
will be issued by Public Works and Government Services Canada in
the Spring of 2009.

5.0 NOTE TO INTERESTED FIRMS

This is not a bid solicitation and a contract will not result
from this LOI.

Requirements are subject to change, based on the evolution of
the SOW, which may be as a result of information provided in
response to this LOI. Potential respondents are advised that any
information submitted to Canada in response to this LOI may, or
may not be used by Canada in the development of a subsequent
competitive RFP.

The issuance of this LOI does not create an obligation for
Canada to issue a subsequent RFP, and does not bind Canada
legally or otherwise, to enter into any agreement or to accept
or reject any suggestions from organizations. Canada reserves
the right to accept or reject any or all comments received.

Respondents to this LOI should identify any submitted
information that is to be considered as either company
confidential or proprietary.

PWGSC and DND reserve the right to have further discussions with
any individual companies at any time to further discuss issues
of mutual concern and/or to clarify elements of a company's
response. A company contact should be identified to facilitate
this.

6.0 INQUIRIES

All inquiries and other communications related to this LOI shall
be directed exclusively to the PWGSC Contract Authority.
Entities that intend to respond to this LOI are requested to
advise the PWGSC Contract Authority of their intention to
respond, so they may be notified of any changes to the notice on
MERX, which may occur during the posting period.

7.0 CLOSING DATE

Responses to this LOI should be submitted directly to the PWGSC
Contract Authority on or before close of business December 19,
2008. The response should be sent electronically, however, two
(2) hard copies are requested to be mailed within 3 days of
closing.
